As the Senior Manager, Legal “Corporate Counsel,” you will directly report to and work closely with the Chief Legal Officer on a wide range of general corporate matters for a dynamic publicly-traded company. We are looking for a proactive team player who will take ownership of projects, has unquestioned integrity and ethics, is comfortable making decisions and giving concise and practical legal advice, and is comfortable partnering closely with other members of the Legal team as well as the Accounting, Finance, Treasury, Tax, IR, HR, Sales, Operations and other internal terms and outside advisors.

What you’ll do on a typical day:
- Draft, review and revise ’34 Act filings
- Review draft press releases
- Assist with capital markets and financing transactions and advice to Treasury team
- Assist with ethics & compliance program initiatives including drafting and maintenance of policies, training materials and internal communications
- Assist with ESG program, initiatives and reporting
- Provide ongoing support on executive compensation, incentive plans and other compensation and benefits matters
- Reg FD and insider trading policy advice
- Regulatory research and advice
- Collaborate with and manage outside counsel
What you need to succeed at XPO:
At a minimum, you’ll need:
- Juris Doctor (JD) degree and U.S. Bar Admission
- 5 or more years of corporate legal experience, including U.S. securities experience, at either a law firm or in house
- Excellent verbal and interpersonal skills
- Strong writing skills, attention to detail, and organizational skills
- Team player able to work cooperatively with businesspeople and outside counsel to find practical and creative solutions
