This position provides legal guidance to further PPC’s strategic objectives and protect and preserve the legal, ethical and financial integrity and reputation of the PPC Companies. This role includes providing legal counsel to the senior leadership team and other senior management responsible for contracts within the PPC Companies. With specific expertise in the areas of commercial law, corporate law, employment law, and construction contracts, General Counsel offers strategic legal leadership that is informed by a clear understanding of the company’s business objectives and expertise in the laws and regulations relevant to the business nationwide. General Counsel is looked upon as a strategic partner to the business by aligning legal and business strategies, suggesting innovative business solutions, mitigating risk, and ensuring legal efficiency across the PPC Companies.
Responsibilities:
- Review and negotiate contracts to ensure compliance with company policies, alignment with industry practices, and proper risk management strategy
- Advise business stakeholders of the relevant legal issues and risks associated with their operations
- Advise on company policies and procedures
- Draft, review, negotiate and/or advise on a wide array of transactional documents, such as customer, distributor, and supply agreements, product development contracts, licensing agreements, NDAs, etc
- Consult with internal leadership and outside counsel on a variety of commercial disputes, litigation, and employment matters
- Provide support on M&A and strategic initiatives
- Review and advise on real estate matters
- Maintain proper corporate interactions with the relevant local, state and federal governmental bodies, legislatures and the community at large
- Support corporate governance and shareholder outreach initiatives
- Provide legal advice, training and support on a variety of corporate compliance matters, including PPC Code of Business Conduct, anti-corruption (FCPA), and data privacy (GDPR)
Requirements:
- Graduate of a nationally recognized law school and licensed to practice in WI or GA with at least 5 years of construction law & contracts experience
- Consistent experience with reputable law firm required. Transferable in-house experience a plus
- Deep experience in construction law. Working knowledge of commercial law, corporate governance, transactional, and/or real estate experience helpful
- Experience in labor and employment law; working knowledge of union and merit shops a plus
- Knowledge of the range of applicable laws and regulations which impact on all facets of company policy and operations
- Knowledge of current and developing legal issues and trends in the fields of construction and employment/labor law
- Demonstrated leadership and management skills
