Job Description

The Associate General Counsel, Corporate & Regulatory will serve as an integral part of the legal function and will be responsible for assorted corporate, contractual, and regulatory matters.

This candidate will routinely deal with various needs of the company including but not limited to employment, litigation, new business opportunities, vendor agreements, corporate law matters, as well as laws and regulations applicable in the healthcare sector including, without limitation, federal and state privacy, and security laws. Strong background in complex commercial transactions, and general corporate administrative matters. Experience in a broad variety of matters in a legal team of 5 existing lawyers plus contract managers. Such matters could include employment, IP, litigation management, board updates, legal process improvement projects, routine vendor agreements, NDAs, etc.

What you will do:
This candidate will routinely deal with various needs of the company including but not limited to employment, litigation, new business opportunities, vendor agreements, corporate law matters, as well as laws and regulations applicable in the healthcare sector including, without limitation, federal and state privacy, and security laws.
  • Experience in a broad variety of matters in a legal team of 5 existing lawyers plus contract managers.
  • Such matters could include employment, IP, litigation management, board updates, legal process improvement projects, routine vendor agreements, NDAs, etc.
  • HIPAA and privacy matters, IT security, and data sharing agreements.
  • Drafting and negotiating a broad variety of complex commercial transaction agreements.
  • Drafts and presents training programs on regulatory and legal topics. Such other responsibilities as may be assigned from time to time.
  • Prepares and conducts internal investigations and compliance reviews.
  • Monitors and assesses existing and developing federal and state regulations which impact the business.
  • Establish strong relationships across all internal stakeholders.
  • Works with outside counsel as appropriate to meet company goals and objectives.

What we need from you:
  • Minimum of 10 years in nationally recognized law firm and/or in-house practice.
  • Law degree and license to practice law.
  • Excellent academic record.
  • Experience in a broad variety of matters including but, not limited to, employment, IP, litigation management, board updates, legal process improvement projects, routine vendor agreements, NDAs, etc
  • Strong organizational skills, with a demonstrated ability to handle, prioritize, and follow through on numerous projects simultaneously.
  • Excellent oral and written communication, presentation, and skills and ability to communicate legal issues in a clear and comprehensible manner.
  • Demonstrated ability to be proactive and exercise independent judgement.
  • Strong work ethic and ability to produce high quality work under deadline pressures.
  • Always maintain strict ethical code and confidentiality
Travel:
  • Occasional travel to our Whippany, NJ office
